End User License Agreement - Licenses
END-USER LICENSE AGREEMENT FOR [RONS PLACE SOFTWARE PRODUCT]
IMPORTANT – PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE PRODUCT.
This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Rons Place Software Inc. ("Licensor") for the Rons Place Software product(s) (the "SOFTWARE PRODUCT"), which may include associated software components, media, printed materials, and online or electronic documentation. By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the SOFTWARE PRODUCT. The SOFTWARE PRODUCT is protected by copyright and other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.
1. DEFINITIONS
For the purposes of this EULA, the following terms shall have the meanings set forth below:
- "Software Product": The Rons Place Software product(s) you have licensed, including all associated components, media, and documentation.
- "License Key": The unique alphanumeric code provided to you which activates the SOFTWARE PRODUCT.
- "Authorized Use": Use of the SOFTWARE PRODUCT strictly in accordance with this EULA.
- "Authorized Computer": Any computer on which you are permitted to install and use the SOFTWARE PRODUCT in accordance with this EULA.
2. GRANT OF LICENSE
2.1 Installation and Use
Rons Place Software Inc. hereby grants you a revocable, personal, non-exclusive, and non-transferable license to install and activate the SOFTWARE PRODUCT solely for your personal and non-commercial use, unless you have purchased a commercial license. You may not share, reproduce, or otherwise provide the SOFTWARE PRODUCT to unauthorized individuals. Network installation and use by multiple users is prohibited unless a multi-user or network license has been expressly purchased.
2.2 License Key Revocation
You acknowledge that the License Key provided under this EULA is issued for your exclusive, personal use and is subject to strict adherence to our reasonable use license terms. Rons Place Software Inc. reserves the right, at its sole discretion, to revoke your License Key immediately if we have reasonable evidence that you have breached any of these terms. Such breaches include, but are not limited to:
- Activating the License Key on more than five (5) Authorized Computers.
- Using the License Key for any unauthorized, illegal, or commercial purposes contrary to the terms of this EULA.
- Illegally distributing, sharing, or otherwise making the License Key available to unauthorized parties.
- Any other violation of our reasonable use license terms as set forth in this EULA.
In the event your License Key is revoked, you must immediately cease all use of the SOFTWARE PRODUCT, including any backup copies. Continued use after revocation will be considered unauthorized and may subject you to legal action.
2.3 Backup Copies
You may make copies of the SOFTWARE PRODUCT solely for backup and archival purposes, provided that each backup copy contains all copyright and proprietary notices.
3. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
3.1 Maintenance of Copyright Notices
You must not remove or alter any copyright, trademark, or other proprietary notices contained in or on the SOFTWARE PRODUCT.
3.2 Distribution Prohibition
You may not distribute or sell the SOFTWARE PRODUCT or any portion thereof, including License Keys, to any third party. However, any versions available for download from Rons Place Software Inc.’s websites may be freely distributed if provided without the License Key.
3.3 Prohibition on Reverse Engineering
You shall not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT except to the extent expressly permitted by applicable law.
3.4 Rental, Lease, or Lending
You may not rent, lease, or lend the SOFTWARE PRODUCT.
3.5 Support and Maintenance
Rons Place Software Inc. may provide support and updates for the SOFTWARE PRODUCT. Any supplemental software provided as part of such support will be deemed part of the SOFTWARE PRODUCT and subject to the terms of this EULA.
3.6 Compliance with Laws
You must comply with all applicable laws and regulations in your jurisdiction regarding the use of the SOFTWARE PRODUCT.
4. TERMINATION
This EULA is effective until terminated. Rons Place Software Inc. may terminate this EULA immediately if you breach any of its terms. Upon termination, you must immediately destroy all copies of the SOFTWARE PRODUCT, including any backup copies, in your possession.
5. COPYRIGHT
All title, including copyrights and intellectual property rights, in and to the SOFTWARE PRODUCT (and copies thereof) are owned by Rons Place Software Inc. or its suppliers. This EULA does not grant you any rights to any content accessed through the SOFTWARE PRODUCT beyond the limited license herein.
6. NO WARRANTIES
THE SOFTWARE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED. Rons Place Software Inc. DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Additionally, Rons Place Software Inc. makes no guarantee regarding the accuracy, completeness, or reliability of any information, text, graphics, or links within the SOFTWARE PRODUCT.
7. LIMITATION OF LIABILITY
IN NO EVENT SHALL Rons Place Software Inc. BE LIABLE FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, BUSINESS INTERRUPTION, OR LOST INFORMATION) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
8. GOVERNING LAW, DISPUTE RESOLUTION, AND JURISDICTION
8.1 Governing Law
This EULA shall be governed by and construed in accordance with the Laws of Nova Scotia, Canada, without regard to its conflict-of-law principles.
8.2 Dispute Resolution
In the event of any dispute arising out of or relating to this EULA or the SOFTWARE PRODUCT, the parties agree to attempt informal resolution prior to initiating any legal action. If a resolution is not reached within thirty (30) days, the dispute shall be resolved by binding arbitration in the jurisdiction specified below.
8.3 Jurisdiction
Any disputes arising from this EULA shall be subject to the exclusive jurisdiction of the courts located in the appropriate jurisdiction of Canada (Province of Nova Scotia), and you consent to personal jurisdiction and venue therein.
9. UPDATES AND MODIFICATIONS
Rons Place Software Inc. reserves the right to modify or update this EULA at its sole discretion. Updated terms will be posted on our website, and the revised EULA will take effect immediately upon posting. Continued use of the SOFTWARE PRODUCT after the effective date of the updated EULA constitutes your acceptance of the modifications.
10. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Rons Place Software Inc., its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from your violation of this EULA or your misuse of the SOFTWARE PRODUCT.
11. MISCELLANEOUS
11.1 Severability
If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11.2 Entire Agreement
This EULA constitutes the entire agreement between you and Rons Place Software Inc. regarding the SOFTWARE PRODUCT, superseding all prior or contemporaneous agreements or understandings, whether written or oral.
11.3 No Waiver
The failure of Rons Place Software Inc. to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.
12. CONSENT
By installing, copying, or otherwise using the SOFTWARE PRODUCT, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree to these terms, do not install or use the SOFTWARE PRODUCT.
